This document contains General Terms & Conditions and Privacy Policy – Seniors Hive

These terms of use (“Terms of Use” or “Terms”) mandate the terms and conditions on which the users (“User”) access and register on the “Seniors Hive” (the “service(s)”) operated by 60Plus Ventures Private Limited (hereinafter referred to as “Seniors Hive” or “Company”) a private limited company established under the laws of India having its registered office at the following address:

The terms “we”, “our” or “us” refer to the Company. The terms “you”, “your” or “yourself” refer to the User or End-user. The Services are made available by way of mobile application along with associated mobile sites, websites, applications and other variants (referred to as the “Platform”). The Service includes all of the SENIORS HIVE features, services, technologies and software that we provide to advance APP mission: To build India's largest online platform and community for older adults, dedicated to empowering and enriching their lives.

These Terms shall be read in conjunction and together with the & Privacy Policy and the Community Guidelines and forms an integral part of the User Agreement between Seniors Hive and You in relation to Your access to and use of the Services.

Please read these Terms carefully before accepting them as they contain provisions that define your limits, your exercise of legal rights and obligations with respect to your use of our Services. By accessing and using our Services, you agree to be bound, without limitation or qualification, by these Terms. If you do not agree to be bound by these Terms, do not use the Services in any manner whatsoever or authorize or permit any other person or entity to do so. Any person who is not legally eligible to be bound by these Terms shall not access and use the Services. If you are not willing to agree to the foregoing, you should not click to affirm your acceptance thereto, in which case you are prohibited from accessing or using the services. Content means and includes, without limitation, any information, data, text, pictures, audio, video, GIFs, polls, user profiles, software, tags, graphics, and interactive features generated, provided, or otherwise made accessible either by you or other users or by us or our partners or sponsors on or through the Service/s. User content will mean data generated or provided or otherwise made accessible by you or other users on or through the Service/s. Nothing in these Terms shall be deemed to confer any third-party rights or benefits. While certain aspects of the Services or using certain Services, you will be subject to any additional terms applicable to such services that may be posted on the Service from time to time. All such terms are hereby incorporated by reference into these Terms of Service.

1. ELIGIBILITY:

You must be of 50 years or more in your province, territory, or country, and otherwise be fully able and competent to enter into, abide by, and comply with these Terms.

The Platform Services are not available to minors i.e., persons under the age of 18 (eighteen) years or to any Users suspended or removed by the Company for any reason whatsoever. You represent that You are of legal age to form a binding contract and are not a person barred from receiving Platform Services under the applicable laws.

At any time during your use of our Services, we reserve the right to terminate your access without prior warning (i) if any information provided proves to be inaccurate, not current or incomplete; (ii) if it is believed that your actions may cause legal liability for you or us; and/or (iii) if you are found to be non-compliant with these Terms; and/or (iv) as such other condition as decided by the company from time to time.

The Company reserves the right:

to refuse access to the Platform or Platform Services to new Users or to terminate access granted to existing User(s) at any time without according to any reasons for doing so.

You shall not have more than one active Account (as defined hereinafter) on the Platform. Additionally, you are prohibited from selling, trading, or otherwise transferring your account to another party or impersonating any other person for the purpose of creating an account with the Platform.

2. CHANGES OR MODIFICATIONS:

We may modify these Terms from time to time at our sole discretion.

We will notify you or let you know by posting the modified Terms on the platform. You shall, at all times, be responsible for regularly reviewing and noting the changes made to the Terms.

Your continued use of our Services after the effective date of any change to the Terms will signify your assent to and will be deemed to be your acceptance of the modified Terms. If you don’t agree to be bound by the modified Terms, kindly discontinue accessing and using the Services immediately. We may change or discontinue all or any part of the Services, at any time and without notice, at our sole discretion.

3. SYSTEM REQUIREMENTS:

For using the services in our Platform, you would require one or more compatible devices (mobile handset or such compatible devices which support our Services), Internet access (fees may apply), and certain software/hardware and may require obtaining updates or upgrades from time to time.

Because the use of the Services involves hardware, software, and Internet access, your ability to access and use the Services may be affected by the performance of these factors. High-speed Internet access is recommended. SENIORS HIVE shall also not be responsible for any reduction in speed or efficiency of the Services due to poor connectivity or any other such collateral requirements related to internet services. You acknowledge and agree that you will promptly install all upgrades, bug fixes, patches, and other corrections relating to the Services made available by us.

We would be improving our Services and creating new ones all the time. We at our sole discretion, at any time, with or without notice, and without any obligation or liability to you or any other party may suspend, terminate, limit, change, modify, downgrade, and/or update the Services (in whole or in part), including without limitation, any feature, functionality, integration or component thereof. The Services shall not and are not intended to be used for any application where failure, interruption or malfunction may reasonably be anticipated to result in bodily injury, loss of life, or substantial damage to property and we shall not be liable for any claims, damages or loss which arise from such limitation.

4. REGISTRATION AND LOGIN CREDENTIALS:

You need to register with SENIORS HIVE to access the platform and actively access all features in the platform as a User, through your account (“User Account”) which can be created by filling in your contact number to log in. To create a User Account, you must submit the information requested at the time of registration (“Registration Information”) through your contact number, subsequent to it an OTP will be generated which needs to be filled accordingly for its activation and thereafter you can fully access the platform.

Our information collection and use policies with respect to the privacy of such information are set forth in the Data & Privacy Policy. You acknowledge and agree that you are solely responsible for the accuracy and content of the Registration Information, and you agree to keep it up to date. At any time after the registration, we reserve the right to suspend or terminate your User Account (i) if any Registration Information or any information provided thereafter proves to be inaccurate, not current or incomplete; (ii) if it is believed that your actions may cause legal liability for you, other End-Users or us; and/or (iii) if you are found to be non-compliant with these Terms.

You are responsible for safeguarding your User Account details and password. You agree that you will not disclose your password to any third party and that you will take sole responsibility for any activities or actions under your User Account. You shall notify SENIORS HIVE immediately in case of any breach of security or any unauthorized use of your User Account. Similarly, you shall never use another person’s User Account without prior consent from SENIORS HIVE. You agree that you will not misrepresent yourself or represent yourself on the platform. You hereby expressly acknowledge and agree that you will be liable for any losses, damages (whether direct or indirect) caused to you, SENIORS HIVE or any others as a result of the unauthorized use of your User Account. By agreeing to create a User Account, you may receive occasional special offers, marketing, and survey communication emails with respect to the Services/Content. You can unsubscribe from the SENIORS HIVE commercial emails by following the opt-out instruction in these emails.

5. USER CONTENT ON THE SERVICES:

For User Content, SENIORS HIVE acts purely as an "Intermediary" as read and construed under Indian Laws and equivalent laws of your jurisdiction and rules thereunder as applicable.

SENIORS HIVE expressly excludes any kind of liability relating to User Content. Being an “Intermediary”, SENIORS HIVE carries out the limited function of providing a platform for communication and transmission of the User Content and SENIORS HIVE has no responsibility and/or liability in respect of any User Content on the Services, including without limitations, for intellectual property rights infringement, defamation, illegal content or any other violation under applicable law.

We do not claim ownership of your content, but you grant us a licence to use it:

All User Content, which is hosted and transmitted on the Services, is the sole responsibility of the person who is providing/originating/publishing/posting it whether on the Services or on other platforms (which permits SENIORS HIVE to carry the content of such API embedding).

Seniors Hive is not responsible for the Content posted by you.

You shall be solely responsible for the Content posted, shared, modified, uploaded, transmitted, updated and hosted by you.

You agree that the use of APP services will conform to the Community Guidelines.

Community Guidelines for Seniors Hive are as follows:

SENIORS HIVE commitment to this community:

Exclusively for anyone aged 50 years and above, this community is a platform for older adults to safely connect with like-minded individuals online and bond over their shared interests. We want to ensure that this community remains a space that is positive, empowering and supportive, where everyone feels like they are able to learn and connect with others while feeling safe.

Our community members come from many different cultures, backgrounds, and professions. Because we are likely to understand things differently, it is important for all of us to be conscious of how we communicate with each other in order to build a foundation of goodwill and long-lasting emotional connections.

As a SENIORS HIVE member, you play an important role in keeping our community peaceful, respectful and safe for all of our members.

As such, we request you to read and adhere to the guidelines that follow. By using SENIORS HIVE, you agree to these guidelines and our Terms of Use.

Failure to follow our community guidelines may result in warnings, suspended accounts and/or account termination or other restrictions.

In all cases, SENIORS HIVE reserves the right to suspend accounts, without notice to protect the integrity of our platform and community. We reserve the right to delete comments/posts made by you at our discretion and suspend any repeat or non-repeat offenders. We might remove content that is fraudulent, deceptive or misleading when it comes to the notice of the company.

What we encourage you to do in the community:

If you feel that a user is sharing objectionable, inappropriate or offensive content, you can report the user by emailing us at info@seniorshive.com. We have a team that reviews these reports and works as quickly as possible to remove content that doesn't meet our guidelines. It may take up to 36 hours to review and remove this content. In an attempt to keep people safe and prevent any attempts at retaliatory action, SENIORS HIVE keeps all reports anonymous, with no exceptions.

Terms for user-posted content:

By posting any Content on or through our Services, you hereby grant us a non-exclusive, fully paid and royalty-free, worldwide, limited licence to display such Content as felt appropriate, in any media formats through any media channels, and to also delete such Content. We do not claim any ownership or modification or derivative rights in any Content or to the underlying works in the Content that you post on or through our Services.

You agree that your use of the Services does not grant you any right to any compensation or share in revenue or value.

To the extent it’s necessary when you generate Content, you also grant us, our affiliates, and our business partners the unrestricted, worldwide, perpetual right and license to use your name, likeness, and voice. You will not be entitled to any compensation from us, our affiliates, or our business partners if your name, likeness, or voice is conveyed through the Services, either on the SENIORS HIVE application or on one of our business partner’s platforms.

You represent, warrant and covenant, as applicable, that: (i) you own the Content posted by you on or through our Services or otherwise have the right to grant the licence set forth in this section, (ii) the posting and use of your Content on or through our Services do not violate the rights, copyrights, contractual rights, intellectual property rights or any other rights of any person, and (iii) the posting of your Content does not result in a breach of contract between you and a third party (iv) Your actions on SENIORS HIVE shall not be in violation of applicable law or regulation. We are not responsible for any Content posted by you or any consequences thereof.

With respect to any content, you submit or make available through the Service (other than personal information, which is handled in accordance with the Privacy Notice, you grant SENIORS HIVE a perpetual, irrevocable, non-terminable, worldwide, royalty-free and non-exclusive licence to use, copy, distribute, publicly display, modify, create derivative works, and sublicense such content or any part of such content, in any media.

SENIORS HIVE does not authorise or approve such unauthorised usage of your information but by using the Services, you acknowledge and agree that SENIORS HIVE will not be responsible for any third party's use of any of your information which you may have publicly disclosed on the Platform.

We advise that you exercise caution in disclosing any information on the Services which may become publicly available. You agree to indemnify SENIORS HIVE, without any limit, on any monetary or non-monetary claim raised by any third party in this regard.

You agree that you shall not host, display, upload, modify, publish, transmit, store, update or share any information that: belongs to another person and to which you do not have any right; is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, including bodily privacy, insulting or harassing on the basis of gender, libellous, hateful, racially or ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful inconsistent with or contrary to the laws in force in any manner whatever; harms minors in any way; infringes any patent, trademark, copyright or other proprietary rights; violates any law for the time being in force; deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature or which is patently false or misleading in nature but may reasonably be perceived as a fact; impersonates another person contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource that threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting any other nation; intimidates or harasses another, or promotes sexually explicit material, violence or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age. contains material that contains a threat of any kind, including threats of physical violence; is slanderous or defamatory; is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity or agency for financial gain or to cause any injury to any person; infringes upon or violates any third party's privacy rights (including without limitation unauthorized disclosure of a person's name, physical address, phone number or email address); provides material that exploits people in a sexual, violent or otherwise inappropriate manner or solicits personal information from anyone; interferes with another user's use and enjoyment of the Platform or any other individual's user and enjoyment of similar services; or directly or indirectly, offer for trade, the dealing of any item which is prohibited or restricted in any manner under the provisions of any applicable law, rule, regulation or guideline for the time being in force; may contain software viruses or malware or files or programs designed to interrupt, destroy or limit the functionality of any computer; contains advertisements or solicitations of any kind, or other commercial content; is designed to impersonate others; contains messages that offer unauthorised downloads of any copyrighted, confidential or private information; contains multiple messages placed within individual folders by the same user restating the same point; contains identical (or substantially similar) messages to multiple recipients advertising any service, expressing a political or other similar messages, or any other type of unsolicited commercial message; this prohibition includes but is not limited to

• using the chat functionality that may be available during the services provided by the Platform to send messages to people who do not know you or who are unlikely to recognize you as a known contact;
• using the Platform to connect to people who do not know you and then sending unsolicited promotional messages to those direct connections without their permission; or
• sending messages to distribution lists, newsgroup aliases or group aliases.

You may not use a false email address or other identifying information, impersonate any person or entity or otherwise mislead as to the origin of any content. Some features that may be available on this Platform require registration. By registering, you agree to provide true, accurate, current and complete information about yourself.

You agree that in case of non-compliance with applicable laws, or with these terms and conditions, or with the SENIORS HIVE Data & Privacy Policy, or with our Community Guidelines, we have the right to terminate your access or usage rights to SENIORS HIVE immediately and remove non-compliant content from SENIORS HIVE. You hereby agree that you will never use SENIORS HIVE in violation of any applicable law.

If any violation of these Terms is brought to our actual knowledge by an affected person, we shall act within seventy-two working hours and where applicable, work with the user or owner of such information to delete/disable such information/Content that is in contravention of these Terms. We will not intimate you if any of the Content posted by you is taken down / deleted or your account is disabled pursuant to the above. We will preserve such information and associated records for at least one hundred and eighty days for investigation purposes. Please contact the grievance redressal whose details are provided in the last section of these Terms, in case of any violation or grievances.

Disclaimers regarding User Content and Third-Party Interactions

Any use or reliance on any User Content available on the Service is at Your own risk. You understand that by using the Service and accessing the User Content, You may be exposed to User Content that might be offensive, harmful, inaccurate or otherwise inappropriate. The views expressed by users of the Service are not controlled and do not represent the views or values of SENIORS HIVE.

SENIORS HIVE does not have any obligation to provide disclaimers with respect to any User Content. Some User Content offered on the Service may not be suitable for some Users and therefore User’s discretion is advised. Also, some User Content offered on the Services may not be appropriate for viewership by children. Parents, Grandparents and/or legal guardians are advised to comply with applicable laws and exercise discretion before allowing their children and/or wards to access User Content on the Service.

You acknowledge and agree that the Service only facilitates access to the User Content and SENIORS HIVE does not pre-screen the User Content and has no obligation to monitor any User Content. Therefore, SENIORS HIVE may not always have actual or specific knowledge of any User Content available on the Services. However, SENIORS HIVE at its discretion and in accordance with applicable law may monitor any User Content and may remove any User Content from the Services if SENIORS HIVE determines in its sole discretion that such User Content is in violation of this User Agreement or any applicable law. SENIORS HIVE, at its discretion, may review the User Content when, and only when, complaints are received from You or any third party. Such actions do not in any manner negate or dilute Our position as an “Intermediary” or impose any liability on SENIORS HIVE with respect to any User Content. Any use or reliance on any User Content or materials posted via the Services or obtained by You through the Services is at Your own risk. You are responsible for any User Content You post to the Services and for any consequences thereof. The User Content You submit, post, or display will be able to be viewed by other Users of the Services and through third-party services and websites. You should only provide User Content which You fully own or in respect of which You have all the permissions/licences, and that You are comfortable sharing such User Content with others under the User Agreement. We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any User Content or communications posted via the Services or endorse any opinions expressed via the Services. You understand that by using the Services, you may be exposed to User Content that might be offensive, harmful, inaccurate or otherwise inappropriate, or in some cases, postings that have been mislabelled or are otherwise deceptive. Under no circumstances will SENIORS HIVE be liable in any way for any User Content, including, but not limited to, any errors or omissions in any User Content, or any loss or damage of any kind incurred as a result of the use of any User Content posted, emailed, transmitted or otherwise made available via the Services or broadcast elsewhere.

Your interactions with third parties, including users, on or through the Service, is solely between you and the third party; however, SENIORS HIVE may, in its sole discretion, intercede and You will reasonably cooperate with SENIORS HIVE if it does so. You acknowledge and agree that SENIORS HIVE will not be responsible for any damages, losses, costs, expenses, or liabilities incurred as a result of such interactions, and you will not make SENIORS HIVE a party to any dispute between you and any third party with whom you interact with on the Service. You hereby release SENIORS HIVE from claims, demands, and damages (actual and consequential) of every kind or nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such interactions or the Service.

Conditions and Restrictions for Use of the Services:

We reserve the right at all times (but will not have an obligation) to remove or refuse to distribute any User Content on the Services and suspend or terminate Users, and reclaim usernames and profile URLs without liability to You.

We also reserve the right to access, read, preserve, and disclose any information as We reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce the terms of the User Agreement, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to User support requests, or (v) protect the rights, property or safety of Seniors Hive, its Users and the public. SENIORS HIVE does not disclose personally-identifying information to third parties except in accordance with Our Data & Privacy Policy. You agree that SENIORS HIVE shall have the right but have no obligation, to monitor User Content and to restrict or remove User Content that SENIORS HIVE may determine, in its sole discretion, is inappropriate or for any other reason. You acknowledge that SENIORS HIVE reserves the right to investigate and take appropriate legal action against anyone who, in Our sole discretion, violates these terms, including, but not limited to, terminating their account, terminating, suspending, limiting, or use of the Services or access to User Content and/or reporting such User Content, conduct, or activity, to law enforcement authorities, in addition to any other available remedies under law or equity. In addition to the restrictions set forth above, You must adhere to the below terms and conditions and not host, display, upload, modify, publish, transmit, update or share any information /material/content that violates any clause of T&C or Data & Privacy Policy. You acknowledge that the User Content is not confidential and that You have no expectation of privacy in it.

In no event does SENIORS HIVE assume any responsibility or liability whatsoever for any User Content, and You agree to waive any legal or equitable rights or remedies You may have against SENIORS HIVE with respect to such User Content.

The Service may contain articles/views/comments contributed by several individuals under the interactive features of the Services. The views are exclusively their own and do not represent the views of SENIORS HIVE, its group companies and respective management. All liability in respect of the above is excluded to the extent permitted by law including any implied terms.You may not do any of the following while accessing or using the Services:

• access, tamper with, or use non-public areas of the Services, SENIORS HIVE computer systems, or the technical delivery systems of SENIORS HIVE providers;
• probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures;
• access or search or attempt to access or search the Services by any means (automated or otherwise) other than through Our currently available, published interfaces that are provided by Seniors Hive (and only pursuant to those terms and conditions), unless You have been specifically allowed to do so in a separate agreement with SENIORS HIVE
• forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Services to send altered deceptive or false source-identifying information; or
• interfere with, or disrupt, (or attempt to do so), the access of any User, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing the Services, or by scripting the creation of the User Content in such a manner as to interfere with or create an undue burden on the Services;
• access or use the Service or the User Content therein by means of any mechanism or technology which conceals Your actual geo-location or provides incorrect details of Your location [for example, use a virtual private network (VPN)
• attempt to circumvent any technological measure implemented by SENIORS HIVE, any of its service providers, or any other third party (including another user) to protect Seniors Hive, the Platform, users or any other third party;
• access the Platform to obtain information to build a similar or competitive application or service.

6. CHARGES AND FEES

Whenever you sign up or log in to SENIORS HIVE you may or may not avail of the services. All services you avail on the platform will be free of charge to all users.

Any promotional offer or discount provided may not be used in conjunction with any other promotion code or offer, past or present. We reserve the right to terminate or revoke any voucher or offer given to the user through the application at any time and for any reason, without prior notice. The new sign-up or Login offers are only available to new users of the Platform, except where expressly stated otherwise. Previous users, including those having only booked/utilised trial services, or trial users of the Platform do not qualify as new users. No promotion code or discount will apply to any services/products unless otherwise stated on the Platform.

In case of non-utilisation of sessions then the session which was not utilised would not be rolled over.

Payment terms:

You agree that You are responsible for any fees charged by your internet service provider in connection with services you avail on the SENIORS HIVE platform.

7. DISCLAIMERS

Except as otherwise expressly provided in these terms of use, or required by applicable law, Seniors Hive makes no representations, covenants or warranties and offers no other conditions, express or implied, regarding any matter, including, without limitation, the merchantability, suitability, fitness for a particular use or purpose, or non-infringement of products, any content on the platform, or services purchased through the platform as well as warranties implied from a course of performance or course of dealing.

Your use of this platform is at your sole risk. The platform is provided on an “as is” and “as available” basis. We reserve the right to restrict or terminate your access to the platform or any feature or part thereof at any time. Seniors Hive disclaims any warranties that access to the platform will be uninterrupted or error-free; that the platform will be secure; that the platform or the server that makes the platform available will be virus-free; or that information on the platform will be correct, accurate, adequate, useful, timely, reliable or otherwise complete. If you download any content from this platform, you do so at your own discretion and risk. You will be solely responsible for any damage to your computer system or loss of data that results from the download of any such content. No advice or information obtained by you from the platform shall create any warranty of any kind.

Limitation of liability:

In no event will Seniors Hive be liable for

• any incidental, consequential, or indirect damages (including, but not limited to, damages for loss of profits, business interruption, loss of programs or information, and the like) arising out of the use of or inability to use the service, or any information, or transactions provided on the platform, or downloaded from the platform, or any Delay of such information or service. Even if Seniors Hive or its authorised representatives have been advised of the possibility of such damages, or
• any claim attributable to errors, omissions, or other inaccuracies in the service and/or materials or information downloaded through the platform
• any products or services made available or purchased through the platform;
• any fraudulent act committed by any person using the platform which may or may not involve financial transactions, including any damages or injury arising from any use of such services;
• any delay or inability to use the services or any information, services advertised in or obtained through the platform;
• the modification, removal or deletion of any content submitted or posted on the platform; or

• any damage incurred as a result of the actions of another user.

This disclaimer applies, without limitation, to any damages or injury arising from any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, file corruption, communication-line failure, network or system outage, loss Of profits by you, or theft, destruction, unauthorised access to, alteration of, loss or use of any record or data, and any other tangible or intangible loss. Any dispute that may arise between you and any third party arising from your use of the services shall be only between you and a third party and you release us and our affiliates from any such claims and damages connected with such disputes.

8. INDEMNITY

You agree to indemnify and hold harmless SENIORS HIVE its employees, directors, officers, agents, and their successors and assigns from and against any and all claims, liabilities, damages, losses, costs and expenses including attorney’s fees caused by or arising out of claims based upon your actions or inactions, which may result in any loss or liability to SENIORS HIVE or any third party including but not limited to the breach of any warranties, representations, undertakings, or any relation to non-fulfilment of any of your any obligations under this Contract arising out of your violation of any applicable laws, regulations including but not limited to intellectual property rights, payment of statutory dues and taxes, the claim of libel, defamation, violation of rights of privacy or publicity, loss of service by other subscribers, and infringement of intellectual property or other rights. The company is not liable for any physical, monetary or emotional damages or losses caused by user-to-user interaction or user-instructor interaction or due to interaction with any acquaintances created in our application. The application acts merely as a platform provider for our partner companies to advertise their products or services. But the company will not be held liable for any damages caused by the product or services obtained by the user from the partner company(s). The user holds sole responsibility for the interaction between themselves and the partner company(s). The company advises the user against sharing confidential banking or financial information like OTP (One-time Password) or banking passwords with any representative of the company. The company is not liable for any damages or losses caused due to sharing of such information by the user with representatives during any modes of communication. This clause shall survive the expiry or termination of this Contract.

9. INTELLECTUAL PROPERTY

You may not modify, copy, distribute, transmit, display, reproduce, publish, licence, create derivative works from, transfer, or sell any information, Services obtained from the SENIORS HIVE platform - directly or indirectly in any medium. Neither these materials nor any portion thereof may be stored in a computer except for personal and non-commercial use. Users indulging in sharing, reproducing or displaying any content without consent are subject to legal action.

All content included in Seniors Hive’s Platform, including but not limited to text, graphics, logos, button icons, images, audio clips, video clips, digital downloads, data compilations, and software, is/ are the sole property/ proprietary of Seniors Hive and protected copyright.

b. Trademarks

The mark and the logo indicated in the SENIORS HIVE Platform are the sole exclusive trademark of SENIORS HIVE or related entities. All graphics, logos, page headers, button icons, scripts and service names (collectively ‘Trademarks’) present and visible on this Platform are trademarks of SENIORS HIVE The Trademarks mark SENIORS HIVE and the logo “SENIORS HIVE” may not be used in connection with service that is not in any manner connected to or provided by SENIORS HIVE and is likely to cause confusion among customers, or in any manner that disparages or discredits SENIORS HIVE. All other trademarks not owned by SENIORS HIVE that appear on this Platform, are the property of their respective owners, who may or may not be affiliated with or connected to SENIORS HIVE

c. No unlawful or prohibited use

You warrant to SENIORS HIVE that You will not use the SENIORS HIVE Platform for any purpose that is unlawful, illegal or prohibited by these Terms. You shall not use the SENIORS HIVE Platforms in any manner, which could damage, disable, overburden, or impair the SENIORS HIVE Platforms or interfere with any other party's use and enjoyment of the SENIORS HIVE Platforms. You shall not obtain or attempt to obtain any materials through any means not intentionally made available or provided for through SENIORS HIVE Platforms.

d. User Comments

The Company does not assume any obligation to monitor the information that Users post / may post on the Platform. You warrant that any and all information, projects, files or other attachments sent to us ('User Material') or comments other than personal data, which you may transmit to the Company through the Platform, does not infringe intellectual property rights or any other applicable laws. Such information material or comments will be treated as non-confidential and non-proprietary. By submitting any information or material, you give the Company an unlimited and irrevocable licence to use, execute, show, modify and transmit such information, material or comments, including any underlying idea, concept or know-how. The Company reserves the right to use such information, in any way at its sole discretion.

10. ASSIGNMENT

You may not assign these Terms of Use (or any rights, benefits or obligations hereunder) by operation of law or otherwise without the prior written consent of SENIORS HIVE, which may be withheld at SENIORS HIVE’s sole discretion. Any attempted assignment that does not comply with these Terms of Use shall be null and void. SENIORS HIVE may assign these Terms of Use, in whole or in part, to any third party in its sole discretion.

11. ENTIRE AGREEMENT

These Terms of Use constitute the entire agreement between you and SENIORS HIVE regarding the specific matters herein, and all prior agreements, letters, proposals, discussions and other documents regarding the matters herein are superseded and merged into these Terms of Use.

12. SEVERABILITY

Each of the provisions of these Terms of Use is severable. If any provision of these Terms of Use (or part of a provision) is found by any court of competent jurisdiction to be invalid, unenforceable or illegal, the other provisions shall remain in force. If any invalid, unenforceable or illegal provision would be valid, enforceable or legal if some part of it were deleted or modified, the provision shall apply with whatever modification is necessary to give effect to these Terms of Use.

13. TERMINATION

SENIORS HIVE may suspend or terminate your use of the application or any service if it believes, in its sole and absolute discretion, that you have breached the terms of use. The provisions of paragraphs 1 (ELIGIBILITY), 4 (REGISTRATION AND LOGIN CREDENTIALS), 5 (USER CONTENT ON THE SERVICES), 7 (DISCLAIMERS), 8 (INDEMNITY), 9 (INTELLECTUAL PROPERTY), 10 (ASSIGNMENT), 12, (SEVERABILITY), 14 (JURISDICTION AND ARBITRATION), and this Clause 13 (TERMINATION) shall survive any termination of this Contract.

14. JURISDICTION AND ARBITRATION

This Contract shall be construed in accordance with the applicable laws of India. Subject to the provisions below, the courts at Cochin shall have exclusive jurisdiction in any proceeding arising out of this Contract. Any dispute or differences either in interpretation or otherwise of any terms of this Contract between the parties hereto, shall be referred to an independent arbitrator who will be appointed by SENIORS HIVE and its decision shall be final and binding on the parties hereto. The above arbitration shall be in accordance with the Arbitration and Conciliation Act, 1996 as amended from time to time. The arbitration shall be held in Cochin. The high court of judicature at Cochin shall have the jurisdiction and the laws of India shall apply.

15. FEEDBACKS

As part of the Platform Services provided to you, after availing of such services, you agree to provide honest feedback/review about the concerned Platform Service, if required by the Company. You acknowledge and agree that by accessing or using the Platform or Platform Services, you may be exposed to content from others that you may consider offensive, indecent or otherwise objectionable. The Company disclaims all liabilities arising in relation to such offensive content on the Platform. The Company may enable Users to publish, post and upload, distribute or disseminate any topic /material/information/data on the Platform. You hereby agree and undertake to ensure that all such topic/material/information/data is appropriate and decent, and is not offensive, profane, defamatory, infringing, or obscene. All such topic/material/information/data added, created, published, uploaded, submitted, distributed, disseminated or posted to the Platform by you is your sole responsibility and the same shall be in accordance with applicable law. The Company reserves the right to review any topic/material/information provided/data uploaded, if any, by you on the Platform and delete any topic/material/information/data that is inconsistent with these Terms of Use.
